Camcar Terms & Conditions of Sale

Effective January 1, 2026

These Terms & Conditions of Sale (“Terms”) govern all sales of parts, tooling, and services by Camcar Plastics, LLC (“Camcar”). Any differing or additional terms contained in a Buyer’s purchase order or other communication are rejected unless expressly accepted in writing by Camcar.

  1. Definitions

As used in these Terms:

  • Normal Maintenance has the meaning set forth in Section 4.

  • Customer-Owned Tooling means tooling paid for in full by Buyer.

  • Expedited Order means any order requiring delivery earlier than the quoted lead time or Camcar’s standard lead time for such Product.

  • Material Change as set forth in Section 6 means any change in design, geometry, dimensions, tolerances, resin type, resin grade, colorant, additives, packaging, labeling, regulatory requirements, production volumes, or process parameters that materially impacts tooling, cycle time, scrap rate, processing conditions, quality requirements, or cost of goods.

  • Products means all parts, assemblies, tooling, and services supplied by Camcar under these Terms.

  • Non-Routine Repair means any repair, refurbishment, rebuild, welding, insert replacement, component replacement, or corrective action required due to wear, breakage, corrosion, age, design change, resin change, misuse, or other conditions not caused by Camcar.

  • Security Interest means Camcar’s legal right, pursuant to Article 9 of the Uniform Commercial Code as adopted in the State of Michigan, to retain possession of tooling and to assert a lien or other claim against such tooling until all amounts owed by Buyer for that tooling are paid in full. The Security Interest permits Camcar to withhold release of tooling, restrict removal of tooling, and exercise all rights and remedies available under applicable law if Buyer fails to pay any tooling-related charges when due.

1. Scope & Acceptance of Orders

  • These Terms govern all sales by Camcar to Buyer, including parts, assemblies, and tooling.

  • Camcar’s acceptance of Buyer’s purchase order is expressly limited to these Terms. Any conflicting Buyer terms are void unless accepted in writing.

  • These Terms apply upon Camcar's written acceptance of Buyer’s purchase order. Prior to such acceptance, Camcar’s Quotation Terms & Conditions apply.

2. Payment Terms

  • Unless otherwise agreed in writing, payment for production parts is due net thirty (30) days from invoice date.

  • Late payments are subject to a finance charge of 1.5% per month or the maximum rate permitted by law.

  • Standard payment terms for tooling charges are: One-half (50%) deposit at order and one-half (50%) upon sample approval, unless otherwise agreed-to in writing by Camcar.

  • Camcar retains a security interest in goods and tooling until full payment is received.

3. Delivery & Risk of Loss

  • All deliveries are F.O.B. Camcar’s facility in Muskegon, Michigan unless otherwise specified.

  • Title and risk of loss transfer to Buyer upon delivery to carrier.

  • Camcar is not liable for delays due to causes beyond its reasonable control, including material shortages, transportation issues, or force majeure events.

4. Tooling Ownership & Maintenance

  • Customer-owned tooling shall remain in Camcar’s possession for production unless otherwise agreed. Camcar will store such tooling with reasonable care consistent with industry practice and will perform normal maintenance as defined herein.

  • Camcar is responsible for normal maintenance; customer remains responsible for all non-routine repair, refurbishment, or replacement of Customer-owned tooling and for maintaining insurance coverage for the full replacement value of such tooling while in Camcar’s possession.

  • Tooling that is inactive for twelve (12) consecutive months, may, at Camcar’s option, be returned to Customer or stored at Customer’s expense after written notice. If Customer fails to provide instructions within sixty (60) days after such notice, Camcar may, in its discretion dispose of the tooling, and Customer shall have no further claim to such tooling.

  • Camcar retains possession of Customer-owned tooling for production purposes and for so long as any tooling balance remains outstanding, consistent with the Quotation Terms & Conditions.

  • Camcar shall not be responsible for functional degradation caused by natural wear, resin selection, part design, cycle time requirements, operating environment, or other conditions inherent to Buyer’s specifications.

5. Quality & Warranty

  • Camcar warrants that products will conform to agreed specifications and be free from material defects in workmanship and materials for a period of six (6) months from the date of shipment.

  • Buyer shall inspect products promptly upon receipt and shall notify Camcar in writing of any alleged defect within thirty (30) days after discovery and in any event within the warranty period. Failure to provide such notice within that time shall constitute waiver of the claim.

  • Camcar’s obligation under this warranty is limited, at its option, to repair, replacement, or credit of defective parts.

  • This warranty excludes misuse, improper storage, modification, or use contrary to Camcar’s guidance.

  • Camcar shall not be liable for incidental, consequential, or special damages, including lost profits or downtime.

  • The remedies set forth in this Section 5 are Buyer’s sole and exclusive remedies for any breach of warranty by Camcar.

6. Change Orders & Cancellations

  • All changes or cancellation requests must be made in writing and are subject to Camcar’s written approval.

  • Expedited or short-lead requests are subject to Camcar’s resource availability and may incur additional charges. Expedited orders are any orders requiring delivery dates earlier than the quoted or standard lead time. Any expedite charges will be communicated to Buyer and must be approved in writing prior to order acceptance.

  • Any design, material, or process changes requested or required after quotation or initial tooling approval may impact price, lead time, and tooling. Camcar may, in its discretion, require an engineering review and revised quotation prior to proceeding. Buyer shall be responsible for all reasonable costs associated with implementing such changes, including any necessary tooling modifications, qualification runs, and any obsolete raw material or finished goods inventory.

  • Buyer shall be responsible for all costs arising from Material Changes, including tooling modifications, re-qualification runs, scrap, and obsolete inventory.

  • Approved cancellations are subject to all costs incurred to date plus ten percent (10%) administrative fee.

7. Intellectual Property & Confidentiality

  • All intellectual property, tooling designs, and manufacturing processes developed by Camcar remain Camcar’s property.

  • Customer information provided to Camcar shall be treated as confidential and used solely for the purpose of fulfilling the applicable order.

8. Indemnification

  • Buyer agrees to indemnify, defend, and hold harmless Camcar and its officers, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Buyer’s use, handling, or resale of the products; (b) designs, specifications, or materials furnished or required by Buyer; or (c) Buyer’s negligence or willful misconduct.

9. Force Majeure

  • Camcar shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, or government actions.

10. Governing Law & Venue

  • These Terms shall be governed by the laws of the State of Michigan.

  • Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Muskegon or Kent County, Michigan.

11. Entire Agreement

  • These Terms, together with any applicable Camcar quotation and order acknowledgment, constitute the entire agreement between Camcar and Buyer regarding the sale of products and tooling and supersede all prior or contemporaneous agreements or communications. In the event of any conflict between these Terms and the terms set forth in any quotation, order acknowledgment, or other document, these Terms shall control unless expressly stated otherwise in a writing signed by Camcar.

Camcar Quotation Terms & Conditions

Effective January 1, 2026

Camcar Plastics, LLC (“Camcar”) issues these Quotation Terms & Conditions (“Terms”) to provide clarity regarding pricing, scope, and expectations prior to issuance of a purchase order. These Terms apply to all quotations, proposals, and estimates issued by Camcar.

  1. Definitions

As used in these Terms:

  • Quotation means the written price offer, scope description, and commercial terms issued by Camcar.

  • Standard Production Conditions means normal, repeatable production using qualified tooling, agreed materials, standard cycle times, standard labor, and normal inspection levels, without special handling, accelerated timing, extraordinary quality controls, additional documentation, or non-standard equipment.

  • Expedited Order means any order requiring delivery earlier than the quoted lead time or Camcar’s standard lead time for such Product.

  • Material Change as set forth in Section 5 means any change in design, geometry, dimensions, tolerances, resin type, resin grade, colorant, additives, packaging, labeling, regulatory requirements, production volumes, or process parameters that materially impacts tooling, cycle time, scrap rate, processing conditions, quality requirements, or cost of goods.

  • Tooling means molds, dies, inserts, fixtures, or other production assets required to manufacture Buyer’s parts.

  • Customer Owned Tooling means tooling, molds, dies, inserts, or fixtures purchased by Buyer and for which payment has been received in full by Camcar.

  • Security Interest means Camcar’s legal right, pursuant to Article 9 of the Uniform Commercial Code as adopted in the State of Michigan, to retain possession of tooling and to assert a lien or other claim against such tooling until all amounts owed by Buyer for that tooling are paid in full. The Security Interest permits Camcar to withhold release of tooling, restrict removal of tooling, and exercise all rights and remedies available under applicable law if Buyer fails to pay any tooling-related charges when due.

1. Quote Validity & Scope

  • All quotations are valid for thirty (30) days unless otherwise stated in writing by Camcar.

  • Quoted prices are based on the resin type and market price assumptions, annual volumes, and standard production conditions set forth in the quotation. If actual resin costs, annual volumes, or production conditions differ materially from those assumptions, Camcar reserves the right to adjust pricing by written notice to Buyer.

  • Warranty terms are as defined in the Camcar Terms & Conditions of Sale.

2. Order Acceptance

  • A binding contract between Camcar and Buyer shall arise only when Camcar issues a written order acknowledgment in response to Buyer’s purchase order referencing the applicable quotation. Submission of a purchase order referencing a Camcar quotation constitutes Buyer’s acknowledgment and acceptance of the Quotation Terms & Conditions and the Camcar Terms & Conditions of Sale, but does not oblige Camcar to accept the order.

  • Work will not commence until Camcar has received a valid purchase order, all necessary technical documentation, and customer approval of design and materials.

3. Lead Times & Scheduling

  • Quoted lead times begin only after receipt of a valid purchase order, final technical approval, and material confirmation.

  • Expedited or short-lead requests are subject to Camcar’s resource availability and may incur additional charges. Expedited orders are any orders requiring delivery dates earlier than the quoted or standard lead time. Any expedite charges will be communicated to Buyer and must be approved in writing prior to order acceptance.

4. Tooling

  • Tooling is quoted separately from production parts unless otherwise specified.

  • Standard payment terms for tooling are one-half (50 percent) due at order and one-half (50 percent) due upon sample approval, unless otherwise agreed in writing by Camcar.

  • Camcar retains possession and a security interest in all tooling until payment is received in full.

5. Engineering & Design

  • Camcar may provide design-for-manufacturability (DFM) feedback or mold-flow analysis as an advisory service. Final design responsibility rests with the customer.

  • Design and/or process changes requested after quotation may impact cost or lead time and must be confirmed in writing.

  • Any design, material, or process changes requested or required after quotation or initial tooling approval may impact price, lead time, and tooling. Camcar may, in its discretion, require an engineering review and revised quotation prior to proceeding. Buyer shall be responsible for all reasonable costs associated with implementing such changes, including any necessary tooling modifications, qualification runs, and any obsolete raw material or finished goods inventory.

6. Pricing & Minimum Order Quantities

  • Prices are based on the quoted minimum order quantity (MOQ). Orders below the quoted MOQ may be subject to price adjustments.

  • Unless otherwise specified, quoted prices exclude freight, taxes, and duties.

7. Terms of Sale Reference

  • Upon issuance of a purchase order, the Camcar Terms & Conditions of Sale will govern the transaction.

  • Any conflicting terms on a customer purchase order shall be deemed void unless expressly accepted in writing by Camcar.

8. Quotation Acceptance

  • Submission of a purchase order referencing this quotation constitutes acknowledgment and acceptance of these Terms.
